Temat: Zawiadomienie o przekroczeniu przez fundusz “Star Hedge Capital Ltd” progu 5% w ogólnej liczbie głosów na Walnym Zgromadzeniu Akcjonariuszy Starhedge S.A.

Zarząd STARHEDGE S.A. działając zgodnie z art. 70 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych informuje o otrzymaniu w dniu wczorajszym od podmiotu “Star Hedge Capital Ltd” z siedzibą w Wielkiej Brytanii dalej zwanym “SHC”, zawiadomienia w trybie Art. 69 ust.1 pkt.2 oraz Art. 69 ust.4 i 4b – Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, w treści którego SHC poinformowało o zmianie stanu posiadania powyżej 5 procent udziału w kapitale i w głosach na Walnym Zgromadzeniu Akcjonariuszy STARHEDGE S.A. Fundusz “Star Hedge Capital Ltd” przekazał następujące zawiadomienie:

Notification pursuant to Art.69 of the Act on Public Offering

We representatives of of Star Hedge Capital Ltd (hereinafter referred to as “SHC), pursuant to Art. 69 point 1 and Art. 69 point 4 and 4b of the Act of 29th July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies, herby inform that due to execution of closing on June 23rd 2015

purchase of an amount equal to 550.000 shares, representing 9.84% in the share capital of STARHEDGE S.A. seated in Warsaw, Poland – entitling to 550.000 votes at the General Meeting of Shareholders of STARHEDGE S.A., representing 9.84% in the total number of votes at the General Meeting of Shareholders of STARHEDGE S.A., and in accordance with the applicable Law entitling to exercise voting rights, have changed the shareholding in the overall number of votes of public company.

Before the above mentioned purchase Star Hedge Capital Ltd held no shares of STARHEDGE S.A. (hereinafter referred to as “STARHEDGE”).

Summarising the above mentioned purchase, on this day SHC holds 550.000 shares, representing 9.84% in the share capital and votes of STARHEDGE S.A.

In addition SHC informas that further capital engagement in STARHEDGE S.A. will be increased within 12 months of submitting the aforesaid notification.

Furthermore SHC confirms that there are no entities or persons referred to in art. 87 point 1.3.c of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies – that are subsidiaries holding shares of STARHEDGE or third persons with whom SHC has concluded agreements to transfer the right to exercise voting rights from the held shares.
